Battery supply agreement: Velora and Ampere Cells
Velora, a Lille e-scooter maker, needs a battery supplier for the next three years. Ampere Cells, a battery manufacturer near Grenoble, wants the contract. The agreement is governed by French law. As the Code de commerce requires, Ampere's general terms of sale are the starting point: €220 per pack excluding VAT, payment at 30 days, a 4-week lead time and a 1-year term, non-exclusive. Three people represent Velora, including its CEO, who also chairs the meeting. Two represent Ampere Cells.
Each participant receives a confidential briefing from their company. The final agreement is evaluated against each company's objectives, and the evaluation is only shared at the end. Priorities are not the same for everyone: what matters most to you may matter very little to the other side. Market conditions may also change during the meeting.

Group of 4? Leave out the CEO: Velora's Head of Procurement chairs. Group of 6? The sixth person observes with the checklist.
